These re rules for taking over a company within Hobrazia or a company lsited on the ASE (Astoria Stock Exchange). All deals must be done with the knowledge of the ministry of trade and industry THE INTERESTED COMPANY: 1. Must makes its intentions clear within 6 months of the books being opened of the target company. 2. Must declare openly the offer it is making 3. Must have the deal backed by its shareholders THE TARGET COMPANY 1. Must make its books available to be viewed by any potential bidders 2. Must once the board have accepted a bid put the deal to its shareholders, if more than one bid is present the board can put all bids to shareholders THE COMPETITION AUTHORITIES 1. Can block a takeover if the merged groups will take over 25% of a market 2. Can put in place a "Put up of shut up" option, whereby a company must declare its intentions by a set date or it will be blocked from bidding for 2 years 3. Can force a company to sell certain assets to help meet competition limits 4. Can force a company to sell plots of land to meet competition limits OVERALL: ALL THESE MUST BE PRESENTED BY THE TRADE AND INDUSTRY MINISTRY 1. The government can block a takeover with a resolution even if it does not go over competition limits 2. The government can force a takeover through even if it goes over competition limits with a resolution 3. The government can force a company to sell assets with a resolution 4. The government can nationalise a company that it deems vital to Hobrazian security or is in the national interest, this can be done with a resolution |
