| This Bill hereby formally creates a company which produces automobiles and aircraft for Kalistan, including creating upstream companies for electronics, avionics, chasis, body factories, and research and development to create fully functioning national vertical monopolies in automobile and aircraft manufacture. The motor company will be owned as a state conglomerate known as the Kalistan National Motor Company (KALNAMOCO). Automotive production under KALNAMOCO shall include the following processes: 1. Sourcing of raw materials, including steel, aluminum, copper, gold, and plastics 2. Sourcing of component materials, including materials for all accessories, including batteries, wiring, computers, hoses, brake components, drivetrains and transmissions, engines, windows, interiors, radios, gauges, pipes, tanks, etc. 3. Composition of all materials at a plant to be founded in Odufaray District into fully operational, fuel economic, and consumer sought automobiles, which may be sold inexpensively to the population of Kalistan and abroad. 4. Fulfillment of all automobile needs of the Kalistani Regular Military with safe, efficient, and serviceable mobility vehicles 5. Service centers to maintain vehicles produced by KALNAMOCO 6. Research and development for constant improvement and increasing efficiency of vehicles Aircraft production operations of KALNAMOCO will include 1, 2, 5 and 6 above, and include the following 5. Production of civilian small aircraft to sell to consumers within Kalistan aimed at expanding air service across the Republic 6. To supply all the air power needs of the Kalistani Regular Military 7. To research and implement avionics and guided missile technology in order to give Kalistani pilots advantage over their foreign counterparts This Bill also directs the Finance Minister to allocate funds sufficient to open, fully staff and operate all industries that fall under KALNAMOCO, centralizing all clerical and operational aspects, and ensuring that all operations meet the needs of the Kalistani National Economy, both of the Public Sector and the Private Sector. The Ministry of Trade and Industry shall oversee the operation and the maintenance of KALNAMOCO. All production of KALNAMOCO will be first utilized to meet all needs of the Kalistani Regular Military and the consumer demands of the People of Kalistan. Any surplus, especially from the automotive division, may be sold on the international Market at the regular market price. KALNAMOCO will adopt the dual economic system with regard to management. KALNAMOCO will be initially capitalized at 15 Billion KRB. 10 Billion shares of stock will be publicly traded on world markets. The Kalistani Republican Government will control 51% of all stock released, and the remaining 49% of the stock will be available to be sold with preference to Kalistani investors under the symbol KMC. Foreign investors may not vote in Board of Directors decisions. The corporate structure of KALNAMOCO shall imitate all other Dual Economy structures, with more than half of all officers hired from existing employees, who themselves are subject to Employee votes of confidence, while the remaining offices are filled by the stockholders, or their representatives on the Board of Directors. The Chief Executive Officer will be directly elected by the Employees of the Company, while the Chief Financial Officer will be appointed by the Stockholders. The Government of Kalistan is hereby prohibited from transference of any of its stock in the company into private ownership or trusteeship. In the event that Kalistan seeks to divest itself of its controlling interest in the firm, the entire company shall be considered liquidated, and all operations of the company shall cease. At which point, all Stock will be purchased of investors and the company shall be liquidated. This Act will be enacted upon receiving an affirmative vote from a majority of the seats in the Chamber of Deputies. The Chamber of Deputies shall enact all laws necessary and proper to the correct operation of this Charter. This Act may be amended by a 2/3rds affirmative vote of the Chamber of Deputies. The full amended Charter must be included in the description of Amendment Act. |
