Preferential Trade Agreement (Agreement) between the Federal Republic of Kirlawa (PCK) and the Republic of Valruzia (RW)

Article 1.

In the interests of fostering the best possible shape of bilateral social, cultural and economic relations between the Federal Republic of Kirlawa and the Republic of Valruzia, the governments and representatives of the two signatory States agree to conclude among themselves a Preferential Trade Agreement, hereinafter referred to as the Agreement.

Article 2.

The following Agreement will be the basic act of cooperation between the signatory States on the basis of economic cooperation and access to markets from the moment of ratification of the Agreement by the parliaments or legislatures of both signatory States.

Article 3.

The provisions of State law with respect to bilateral trade relations between Kirlava and Valruzia shall be subject to derogation, abrogation or rounding up, as compared with the provisions of this Agreement, which shall constitute for the legi generalis (national law) lex specialis (provisions of the Agreement), as appropriate, and in each case require the consent of both parties, which shall decide unanimously or in the special cases specified in the following paragraphs of the Agreement by a qualified majority obtained in the legislations of both signatory States.

Article 4.

The Agreement shall apply to the land, water and air territories of both signatory States and shall apply to all nationals and economic operators of both signatory States.

Article 4a.

For the purposes of this Agreement, a citizen means

(A) for the PCK, a natural person of Kirlawan nationality; and a legal person whose area of business is within the territory of the PCK and is included in the national register of economic operators;

B) for RW, a natural person of Valruzian nationality; and a legal person whose area of business activity is the territory of the WR and is listed in the National Register of Business Operators;

Article 4b.

Unless otherwise specified, the territorial scope of this Agreement shall include:

(A) for the Federal Republic of Kirlawa:

(i) the land, airspace, waters and territorial sea of the PCK;
(ii) the Exclusive Economic Zone, as defined in the domestic law of the PCK;
(iii) the continental shelf of the PCK, as defined in the national law of PCK

B) in the case of the Republic of Valruzia

(i) Discharge on land, airspace, waters and territorial sea of the RW;
(ii) the Exclusive Economic Zone, as defined in the national law of the RW;
(iii) the continental shelf of the RW, as defined in the national law of the RW

Article 5.

Under this Agreement, the signatory States shall establish, on the date of ratification by the parliaments and legislatures of both signatory States, a free trade area for mutual commercial relations.

Article 6.

The signatory States agree to introduce a 10-year transitional period during which the rules on trade in goods, services and capital will be gradually liberalized. This period may be extended by unanimity for a further 5 years.

Article 7.

The signatory States agree to the national treatment of goods, services and capital originating in the named signatory States (PCK and RW).

Article 7a.

The national treatment referred to in Article 7 consists of treatment no less favourable than that accorded by the government to similar, directly competitive or substitute goods from the PCK and the RW respectively.

Article 7b.

The signatory States agree that individual goods, goods and capital of a nature deemed to be specific and those whose liberalisation of trade on a bilateral basis could harm public security shall be governed by Additional Supplementary Protocols concluded under intergovernmental agreements.

Article 8.

Signatory States shall reduce or eliminate their customs duties on goods, services and capital movements from the territory of any State signatory to this Agreement.

Article 8a.

The signatory States agree that, in relation to customs duties on goods, services and capital of a nature considered as specific, the provisions of Article 7b shall apply.

Article 9.

The signatory States may not adopt or maintain in force customs duties, tariffs, taxes or other measures of an identical or similar nature to or related to duties on the export of goods to another signatory State.

Article 9a.

The signatory States, upon entry into force and immediately after its adoption, may not increase existing customs duties, tariffs and taxes on goods originating in any signatory State.

Article 9b.

New customs duties, tariffs and taxes on goods originating in any signatory State may not be introduced by the signatory States upon entry into force and immediately upon its adoption.
